The Charlotte and Dallas offices of McGuireWoods seek a Counsel for the Tax & Employee Benefits Department.
A diversely skilled group, we provide a range of legal and financial assistance for our business and high-net-worth clients: business tax, employee benefits and executive compensation, and private wealth services. Key partners on our team draw from experience they gained as stakeholders and government officials who helped to shape the very laws, policies and enforcement measures we navigate daily on behalf of our clients.
We represent individuals, corporations, nonprofit organizations and other business entities in tax audits at federal, state and local government levels. We also regularly represent clients before federal, state and local tax authorities; before state trial and appellate courts; and in U.S. Tax Court, U.S. Court of Federal Claims, federal district courts and federal courts of appeals. Our private wealth services team focuses on the unique needs of high-net-worth clients around the globe, including estate planning, gift and estate tax law, and family business succession issues. Along with excellent benefits, McGuireWoods offers our attorneys a competitive salary with hours and merit bonus opportunities, billable hours credit for pro bono work, and a hybrid in office/remote option allowing flexibility and work-life balance.
Qualified candidates will have 8+ years’ of experience working with tax-qualified retirement plans, health and welfare benefits and executive compensation in a corporate transaction context. This position will predominantly handle employee benefits matters associated with corporate transactions including mergers and acquisitions, private equity investments, and business restructurings, and will work closely with corporate and M&A colleagues on these transactions. Work will include drafting and reviewing purchase agreements, disclosure schedules and associated credit agreements, performing employee benefits due diligence, drafting and counseling clients on the structure and tax consequences of management incentive plans, conducting 280G analyses and drafting related disclosure documents, and assisting clients with employee benefits transition support in connection with corporate transactions.

McGuireWoods is proud of its summer associate program. As a summer associate, you have the resources and training to develop professionally and perform challenging, sophisticated work early on regardless of your office location — rare opportunities not offered at most other firms.
Each summer associate is assigned a supervisor and mentor who introduces them to lawyers in their office and across the firm. Summer associates choose the projects they want to work on based on their practice area interests and they have opportunities to collaborate with McGuireWoods lawyers across the country. Summer associates attend client meetings, depositions, corporate closings, trials and appellate arguments. They also prepare research memoranda and draft pleadings, briefs and corporate transaction documents. In addition, summer associates are involved in:...
•special training opportunities;
•social events and networking; and
•a firmwide summer associate retreat.
Summer associates also participate in McGuireWoods’ Pro Bono Mentor Program, which offers them the opportunity to work on a pro bono matter for a client.
