The Governance Manager supports the Board of Directors and staff leadership team to design, implement and support the highest quality governance. This person is responsible for the framework of policies, systems, and practices by which the board of directors ensures accountability, fairness, and transparency with the organization’s members, leaders, customers, and partners. Additionally, focusing on facilitating the flow of information. This position needs to provide key information to managers, board members and committees.
POSITION RESPONSIBILITIES:Duties include but are not limited to:
Maintains and updates the governance framework, including developing, updating, and reviewing governance documents and monitoring compliance with requirements in framework.
Serves as staff liaison for the Board of Directors, Executive Committee, and Nominations and Elections Committee. Prepares and organizes materials including developing meeting agendas, attendance list, minutes, and other materials/logistics.
Maintains corporate records.
Manages & executes the annual Society election process in conjunction with the Nominations and Elections Committee.
Supports the organizational governance evolution, overseeing the implementation of a proposed governance shift and serving as staff liaison for proposed new governing bodies.
Facilitates the flow of information, ensuring key information is cascaded to professional staff, board, volunteer leaders, and members.
Develop and build relationships with executive level staff and volunteer leaders.
This role provides work direction to others but no direct supervision.
Bachelor’s degree in Business, Communications, Non-Profit Management, or related field.
Four years of Board management, governance, legal, business or related experience
Prior non-profit or corporate governance experience preferred.
An organized, critical thinker, with strong attention to detail and analytical skills.
Excellent interpersonal, relationship building, and communication skills are required.
Ability to effectively manage, confidential, sensitive, and urgent matters.
Proven ability to simultaneously handle multiple assignments and deadlines with minimal supervision.
Intermediate proficiency in Microsoft Word, Outlook, PowerPoint, and Excel.

Full-time position with the ability to work M-F during normal business hours. May be expected to occasionally work outside of normal business hours.
